Terms of Service

Effective Date: 1st October 2025

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. Once accepted, these Terms of Service, in combination with our Privacy Policy, Data Processing Agreement, and Affiliate Agreement (collectively the "Terms"), become a binding legal commitment between you (or the business entity that you represent) and My Biz Solution Limited, and its respective officers, directors, successors, and assigns (hereinafter referred to as "My Biz Solution," "we," or "us"). These Terms govern your access to and use of the platform and all other interactions with My Biz Solution related to the platform.

If you do not agree to these Terms, do not accept them, create an account, or use the platform. In the event of a conflict between these Terms of Service and the additional agreements incorporated herein by reference, these Terms of Service shall prevail.

My Biz Solution reserves the right to make changes to these Terms at any time. We will notify you of material changes by email to the address associated with your account at least 30 days before the changes take effect. Your continued use of the platform following the effective date of any revised Terms constitutes your acceptance and agreement to the updated Terms.

You must be at least 18 years old to use our platform and services.

1. Use of the Platform

1.1. Age Restrictions: You must be at least 18 years old to use the platform. By accepting these Terms, creating a Platform Account, or using the platform, you represent that you are at least 18 years old. If you are a parent or legal guardian permitting a person who is at least 13 years of age but under 18 years of age (a "Minor") to create a Customer account and/or use the platform, you agree to:

Supervise the Minor's use of the platform and their account.

Assume all risks associated with, and liabilities resulting from, the Minor's use of the platform and their Customer account.

Ensure that the content on the platform is suitable for the Minor.

Ensure all information submitted to us by the Minor is accurate.

Provide the consents, representations, and warranties contained in these Terms on the Minor's behalf.

1.2. Platform Account Ownership: Your use of the platform is conditioned on your provision of complete, current, and accurate information when registering for a Platform Account. The platform is intended for business use or in connection with an individual's trade, craft, or profession. If you accept these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind the business entity to these Terms. In such a case, the business entity is the owner of the Platform Account.

1.3. Intended Use: You and your customers may use the platform only for lawful purposes and in accordance with these Terms. You agree not to use the platform in any way that violates any applicable law or regulation or engage in any prohibited uses. You also represent and warrant that:

You and your customers will maintain in effect all licences, permissions, consents, and permits necessary to carry out your obligations under these Terms.

You are responsible for your actions and those of your employees, agents, and customers who use the platform.

You, your employees, agents, and customers will not misrepresent the platform or the services.

You will provide these Terms to your employees and ensure they understand them.

You own or control all rights in and to all content you provide to My Biz Solution, including any code provided to customise the platform.

You will cooperate reasonably regarding information requests from law enforcement, regulators, or telecommunication providers.

1.4. Privacy and Data Protection: By using the platform and providing information on or through the platform, you consent to My Biz Solution's use and disclosure of the information in accordance with the UK GDPR, the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations 2003. My Biz Solution's Privacy Policy is available at Privacy Policy | My Biz Solution and is incorporated by reference. You also need to implement and enforce your own Privacy Policy for your business and customers, ensuring it provides at least an equivalent level of protection and complies with all applicable UK data protection laws.

1.5. Login Credentials: You are responsible for maintaining the confidentiality of your login credentials and for all uses of your Platform Account, authorised or not. Notify My Biz Solution immediately of any unauthorised access to or use of your account or login credentials, or any other security breach. My Biz Solution reserves the right to disable your login credentials at any time for any legitimate reason, including suspected unauthorised use or breach of these Terms.

1.6. Use of Communication Services: The platform may include communications features such as SMS, MMS, email, and voice calls. You are responsible for ensuring all communications sent via the platform comply with applicable laws, including the UK GDPR, Data Protection Act 2018, Privacy and Electronic Communications Regulations 2003, and any applicable anti-spam legislation. You must obtain appropriate consent from recipients before sending marketing communications.

1.7. Third-Party Services: The platform may leverage third-party services. My Biz Solution is not responsible for the usability, accessibility, or performance of third-party services. If you pause or delete your account for over 30 days, My Biz Solution may release associated phone numbers or delete account content after providing reasonable notice.

1.8. Third-Party Content: The platform may include third-party content. Your use of third-party content is at your discretion and risk. My Biz Solution disclaims responsibility for third-party content or endorsements.

1.9. Customisations: The platform may allow custom branding, but My Biz Solution may remove modifications if they breach these Terms or for legitimate operational reasons, providing reasonable notice where practicable.

1.10. Excessive Use Restrictions: Use of features that include additional third-party costs such as SMS, Email, and AI tools will be rebilled to your account in addition to the monthly subscription fee. My Biz Solution may require you to upgrade your plan if your data use is excessive, suspend or terminate your use (in accordance with Section 16), or reduce data usage. Please refer to the Acceptable Use Policy.

1.11. Platform Updates: My Biz Solution reserves the right to update the platform at any time, which may affect its mode of operation. We will endeavour to provide reasonable notice of material changes that may significantly affect your use of the platform. Your use is not contingent on future features or services.

1.12. International Use: If you are in an embargoed country or sanctioned entity, you are prohibited from using the platform. Access from outside the UK or EU is at your own risk, and you must comply with local laws.

2. Prohibited Uses

Engaging in any of the following constitutes a material breach of these Terms, which may result in immediate suspension or termination:

Violating applicable laws or regulations.

Exploiting or harming anyone, particularly minors.

Sending unlawful advertising or promotional material, including spam.

Impersonating My Biz Solution or another person.

Interfering with the platform, its security, or its users.

Using the platform to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material.

Knowingly transmitting any data, sending or uploading any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

3. Intellectual Property Rights

3.1. Our Rights: We are the owner or the licensee of all intellectual property rights in our site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

3.2. Your Licence: My Biz Solution grants you a non-exclusive, non-transferable, revocable licence to access and use the platform and its content solely for your internal business purposes in accordance with these Terms.

3.3. User Contributions: Any content you submit to the platform (excluding your confidential business data) grants My Biz Solution a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display such content solely for the purposes of operating and improving the platform.

3.4. Restrictions: You may print off one copy, and may download extracts, of any page(s) from our site for your personal business use and you may draw the attention of others within your organisation to content posted on our site. You must not:

Modify any materials you have printed off or downloaded in any way.

Use any illustrations, photographs, video or audio sequences, or any graphics separately from any accompanying text.

Remove or obscure any copyright, trademark, or other proprietary notices.

Use any part of the content on our site for commercial purposes outside of your authorised use of the platform without obtaining a licence to do so from us or our licensors.

Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

If you print off, copy, or download any part of our site in breach of these terms, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

4. Contract Term and Termination

4.1. Initial Term: All subscription contracts have an initial fixed term of three (3) months from the date of account activation (the "Initial Term"). During the Initial Term, this allows us to properly set up your account, provide onboarding support, and ensure the platform is configured to meet your business needs. The Initial Term cannot be cancelled early except in accordance with your statutory cancellation rights as set out in Section 4.2 below.

4.2. Statutory Cancellation Rights (Consumer Contracts): If you are a consumer (not purchasing for business purposes), you have the right to cancel your contract within 14 days of entering into it without giving any reason, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise your right to cancel, you must inform us of your decision by a clear statement (e.g., by email to [email protected]). If you cancel within this 14-day period, we will reimburse all payments received from you within 14 days of receiving your cancellation notice.

4.3. Rolling Monthly Term: After the Initial Term expires, your subscription will automatically continue on a rolling monthly basis. You may cancel at any time by providing written notice to [email protected]. Cancellation will take effect at the end of your current monthly billing period.

4.4. Notice Period: To cancel your subscription after the Initial Term, you must provide notice at least seven (7) days before the end of your current monthly billing period. If notice is provided with less than seven days remaining in the billing period, cancellation will take effect at the end of the following monthly billing period.

4.5. Termination by My Biz Solution: We reserve the right to suspend or terminate your access to the platform immediately if:

You breach any material term of these Terms.

Your account becomes overdue in payment by more than 30 days.

We are required to do so by law.

We reasonably believe your use of the platform poses a security or legal risk.

Where reasonably practicable, we will provide notice and an opportunity to remedy the breach before termination, except in cases of serious breach or legal requirement.

4.6. Effect of Termination: Upon termination or expiry of your subscription:

Your right to access and use the platform will cease immediately.

You remain liable for all fees and charges incurred up to the date of termination.

We will retain your data for 60 days to allow you to reinstate the account, after which it may be permanently deleted in accordance with our Privacy Policy.

Sections of these Terms that by their nature should survive termination will continue to apply, including intellectual property rights, limitation of liability, and dispute resolution provisions.

4.7. Third-Party Subscriptions: If you subscribed through a third-party provider (such as an app store), you must cancel your subscription through that provider in accordance with their terms and cancellation procedures.

5. Payment

5.1. Fees: Subscription fees are billed monthly in advance based on the plan you select. Communication surcharges for SMS, MMS, voice calls, and other usage-based features are billed monthly in arrears based on actual usage. All fees are exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing rate where applicable.

5.2. Payment Information: You must provide accurate and complete billing information, including a valid payment method. You must notify us within 10 days of any changes to your billing information.

5.3. Non-Refundable Fees: All subscription fees paid are non-refundable except:

Where you exercise your statutory cancellation rights under Section 4.2.

Where we terminate your account in breach of these Terms.

As required by law or as we may determine in our sole discretion.

Usage-based charges (such as SMS and communication surcharges) are non-refundable once services have been provided.

5.4. Taxes: You are responsible for all taxes associated with your use of the platform, including any sales, use, VAT, or other taxes. My Biz Solution will collect and remit taxes as required by applicable law.

5.5. Overdue Amounts: If payment is not received when due, we reserve the right to:

Suspend or restrict your access to the platform after providing 14 days' written notice.

Charge interest on overdue amounts at the rate of 4% per annum above the Bank of England base rate from time to time in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Pursue collection through legal means, in which case you will be responsible for all reasonable costs of collection, including legal fees.

5.6. Payment Disputes: You must notify My Biz Solution in writing within 60 days of the billing date of any disputed charges. We will investigate all good faith disputes promptly. Undisputed amounts remain payable.

6. Affiliate Programme

Participation in our affiliate programme is subject to approval and acceptance of our separate Affiliate Agreement, available at [insert link].

7. No Reliance on Information

7.1. General Information: The content on our site is provided for general information purposes only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

7.2. No Guarantees: Results from using the platform will vary based on numerous factors. We provide no guarantee of specific revenue, results, or business outcomes. Your success depends on multiple factors including your own business practices, market conditions, and effort.

7.3. Accuracy of Information: Although we make reasonable efforts to update the information on our site, we make no representations, warranties, or guarantees, whether expressed or implied, that the content on our site is accurate, complete, or up-to-date.

8. Disclaimers

8.1. "As Is" Basis: The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, to the fullest extent permitted by law.

8.2. Service Availability: We do not warrant that:

The platform will be uninterrupted, timely, secure, or error-free.

The results obtained from use of the platform will be accurate or reliable.

Any errors in the platform will be corrected.

8.3. Data Security: While we implement reasonable security measures, we cannot guarantee the absolute security of data transmitted to or through the platform. You acknowledge that you transmit data at your own risk.

9. Limitation of Liability

9.1. Exclusions: Nothing in these Terms excludes or limits our liability for:

Death or personal injury arising from our negligence.

Fraud or fraudulent misrepresentation.

Any other liability that cannot be excluded or limited by English law.

9.2. General Limitation: Subject to Section 9.1, to the extent permitted by law, we exclude all conditions, warranties, representations, or other terms which may apply to our site or any content on it, whether express or implied.

9.3. Limitation for All Users: We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

Use of, or inability to use, our site or platform.

Use of or reliance on any content displayed on our site.

9.4. Business User Limitations: If you are a business user, we will not be liable for:

Loss of profits, sales, business, or revenue.

Business interruption.

Loss of anticipated savings.

Loss of business opportunity, goodwill, or reputation.

Any indirect or consequential loss or damage.

9.5. Consumer User Limitations: If you are a consumer user, we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

9.6. Technical Issues: We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.

9.7. Third-Party Websites: We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

9.8. Maximum Liability: To the extent permitted by law, our total aggregate liability to you under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

10. Limitation on Time to File Claims

Any claim or cause of action arising out of or related to your use of the platform or these Terms must be commenced within three (3) months after the claim or cause of action arises, after which time the claim or cause of action is permanently barred, notwithstanding any statute of limitations or other law to the contrary. This limitation period applies to the fullest extent permitted by law.

11. Injunctive Relief

You acknowledge that any breach or threatened breach of these Terms, including but not limited to unauthorised use of intellectual property or confidential information, may cause irreparable harm to My Biz Solution for which monetary damages would be an inadequate remedy. Accordingly, My Biz Solution may seek equitable relief, including injunctive relief and specific performance, without the necessity of proving actual damages or posting a bond.

12. Waiver and Severability

12.1. Waiver: No failure or delay by My Biz Solution in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. Any waiver must be in writing and signed by an authorised representative of My Biz Solution.

12.2. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

13. Assignment and Transfer

13.1. Our Rights: My Biz Solution may assign, transfer, or delegate any or all of its rights and obligations under these Terms without notice to you, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets.

13.2. Your Rights: You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. Any attempted assignment without consent shall be void.

14. Entire Agreement

These Terms, together with our Privacy Policy, Data Processing Agreement, Acceptable Use Policy, and Affiliate Agreement, constitute the entire agreement between you and My Biz Solution concerning your use of the platform and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, regarding the subject matter hereof.

15. Viruses and Security

15.1. No Guarantees: We do not guarantee that our site will be secure or free from bugs or viruses.

15.2. Your Responsibility: You are responsible for configuring your information technology, computer programmes, and platform to access our site. You should use your own virus protection software.

15.3. Prohibited Conduct: You must not:

Misuse our site by knowingly introducing viruses, trojans, worms, logic bombs, or other material which is malicious or technologically harmful.

Attempt to gain unauthorised access to our site, the server on which our site is stored, or any server, computer, or database connected to our site.

Attack our site via a denial-of-service attack or a distributed denial-of-service attack.

15.4. Breach Consequences: By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

16. Linking to Our Site

16.1. Permitted Links: You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

16.2. Prohibited Links: You must not:

17. Applicable Law and Dispute Resolution

17.1. Consumer Users: If you are a consumer, these Terms, their subject matter, and their formation are governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. However:

If you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland.

If you are a resident of Scotland, you may also bring proceedings in Scotland.

17.2. Business Users: If you are a business, these Terms, their subject matter, and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

17.3. Alternative Dispute Resolution: Before commencing legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations for a period of at least 30 days.

18. Communications and Notices

18.1. Electronic Communications: You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

18.2. Notice to You: All notices to you will be sent to the email address associated with your Platform Account. It is your responsibility to keep your email address current and to monitor your email regularly.

18.3. Notice to Us: All notices to My Biz Solution shall be sent by email to [email protected]. Notices will be deemed received when we send a confirmation of receipt.

18.4. Language: All communications and notices will be in English.
